AT&T; to Fight NCR Employee Stock Plan

American Telephone & Telegraph, which launched a hostile $6.1-billion bid to acquire NCR Corp. last December, said Monday that it intends to file suit against the computer company’s new employee stock ownership plan.
The plan, approved by NCR directors last week, could put 8% of NCR’s shares into the presumably friendly hands of its employees. AT&T; said the plan is designed to dilute shareholders’ voting power. The telephone giant said it intends to contest the plan’s validity in Ohio court.
NCR hopes to thwart AT&T;’s hostile takeover bid as the companies move toward a showdown on March 28. That’s the date of NCR’s annual meeting, where AT&T; hopes to replace the computer firm’s entire board.
