Baxter Withdraws Offer for Grace Unit: The Deerfield, Ill.-based company said it has formally withdrawn its $3.8-billion offer for National Medical Care Inc. after the company refused to negotiate. W.R. Grace & Co.’s management in Boca Raton, Fla., has shunned Baxter’s offer and embraced a plan to merge Waltham, Mass.-based National Medical with Fresenius’ kidney dialysis equipment business. Baxter International Inc., a maker of equipment to treat kidney and other disorders, earlier this month offered $3.8 billion in cash, shares and assumed debt for National Medical Care, one of the largest providers of kidney dialysis services.
