TriZetto Takes Over Provider of Health Claims Technology

TriZetto Group Inc., a Newport Beach Internet health services firm, said Monday that it has acquired Resource Information Management Systems Inc., which provides automated claims processing technology for health care benefits administrators.
TriZetto is paying $3 million in cash and 2.59 million shares of common stock worth about $41.9 million for RIMS. TriZetto’s stock closed Monday at $16.19, off $1.81 a share, or 10%, in Nasdaq trading.
As part of the transaction, TriZetto assumed about 300,000 stock options and will issue about 94,354 shares of restricted stock to RIMS employees.
