2 Reelected as Directors of Informatics

Signaling a partial victory in its proxy fight against an unwelcome suitor, Informatics General said Monday that shareholders had reelected two directors.

Walter F. Bauer, founder and chief executive of the Woodland Hills software company, and Clarence W. Spangle retained their seats, which had been sought by two executives of Sterling Software, the Dallas company that has offered to buy Informatics.

The company also said, however, that shareholders voting at last Thursday’s annual meeting defeated the company’s proposed anti-takeover measures.

Informatics said a preliminary count showed its incumbent board members winning by a vote of 2.35 million to 960,000.

Informatics said it did not have a tally of the vote that turned down its proposals to establish “fair price” and anti-greenmail policies.
