Semtech Buys Acapella in 175,000-Share Deal
Semtech Corp. in Newbury Park has acquired Acapella Ltd. for 175,000 shares and said it expects to take a first-quarter pretax charge of $255,000 for the cost of the deal.
The chip maker said it will treat the transaction as a pooling of interests for accounting purposes.
Acapella, based in the United Kingdom, designs and markets mixed-signal integrated circuits for fiber-optic communications. It also provides design consulting services for a wide range of electronic companies.
Semtech said it will consolidate Acapella’s results with its fiscal first-quarter results, a move that should not have a major impact on its overall reported earnings.
For the first quarter ended April 27, Semtech reported net income of $2.8 million on revenues of $20.4 million. This quarterly profit was 42 cents a share before adjusting for a 2-for-1 stock split that occurred on Jan. 12.
