EDS to Buy Outstanding Shares of Unigraphics
Computer services giant Electronic Data Systems Corp., sweetening its previous buyout plan, said it will purchase the remainder of software maker Unigraphics Solutions Inc. for $172.3 million in cash.
Plano, Texas-based EDS, which owns 86% of Cypress-based Unigraphics’ shares, said it will pay $32.50 each for the remaining 5.3 million shares.
The initial offer by EDS of $27 a share triggered shareholder lawsuits contending the price was too low.
EDS plans to combine Unigraphics with Structural Dynamics, a Milford, Ohio, company that it expects to acquire this quarter. The combined business will keep the Unigraphics name and be based in Cypress.
Shares of Electronic Data fell 3 cents to $62.96 and Unigraphics rose 81 cents to $32.31, both on the NYSE, while Structural Dynamics rose 6 cents to $24.81 on the NYSE.
