Lockheed to Acquire Summagraphics Corp.: Lockheed Martin Corp. said it will acquire the Austin, Texas-based computer peripherals manufacturer in a stock swap worth about $120 million. Summagraphics will be merged with Lockheed’s Anaheim-based CalComp unit. Under the deal, Lockheed will receive 40.7 million new shares of Summagraphics in exchange for all of the issued and outstanding shares of CalComp, giving Lockheed 90% control over the combined companies. Lockheed Martin’s interest in the computer peripherals maker is valued at about $120 million, based on a price of $3 a share for Summagraphics, a Lockheed spokesman said. About 4.7 million shares of the combined company will continue to be held by Summagraphics public shareholders, the companies said.
